Terms of Service

These Terms of Service (“Terms”) govern your use of Oderfy (the “Service”). By creating an account or connecting a Shopify store, you agree to these Terms.
1. Eligibility and account responsibility
You must be legally able to bind the business you represent to these Terms, and you must own or be authorized to manage the Shopify store you connect. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
2. What the Service does
Oderfy connects to your Shopify store (via Shopify's own OAuth authorization, requesting only the read_orders and read_products scopes) to detect new cash-on-delivery (COD) orders and place an AI-assisted phone call to your customer to confirm, modify, or cancel the order before shipment. Call outcomes and order status are shown in your Oderfy dashboard.
3. Your responsibility for customer/order data and communications
You represent that:
- You have the legal right to share your customers' order and contact information with Oderfy for the purpose of order-confirmation calling, under your own store's privacy policy and applicable law in your operating jurisdiction(s).
- You are responsible for ensuring your own customer communications (including that a customer may be contacted by an automated calling service) comply with applicable telecommunications, consumer-protection, and consent laws in the jurisdictions where your customers are located. Oderfy provides the calling infrastructure; you are responsible for using it lawfully for your business.
- The product/order/customer information you make available to Oderfy (through your connected Shopify store) is accurate to the best of your knowledge.
4. AI-assisted calling functionality
The Service uses an AI voice agent to conduct confirmation calls. You are responsible for configuring your store's script settings, product knowledge, and confirmation questions accurately — the AI agent relies on this configuration and on your Shopify order/product data to conduct calls appropriately. Oderfy does not guarantee a particular call outcome, language quality, or that every call will successfully reach the customer.
5. Prohibited use
You may not use the Service to:
- contact individuals who have not placed an order through your connected store;
- use the Service for unlawful debt collection, harassment, or unsolicited marketing calls;
- attempt to circumvent rate limits, security controls, or per-tenant isolation;
- reverse-engineer or resell the Service without authorization; or
- use the Service in a way that violates Shopify's own Acceptable Use Policy or API terms.
6. Telecommunications compliance
You remain solely responsible for compliance with telemarketing, robocall, and consumer-calling laws applicable to where your customers are located (for example, do-not-call and consent requirements). Oderfy is a tool you configure and direct; it does not independently assess or guarantee legal compliance for your specific customer base or jurisdiction.
7. Plans, prepaid wallet, and billing
Oderfy is offered under subscription plans (see the current Pricing page for exact plan names, monthly fees, and per-confirmed-order pricing, which may change from time to time with notice). The core billing model is:
- A monthly plan fee (which may be $0 for entry-level plans).
- A per-confirmed-order fee, charged only when a call results in a confirmed order, deducted from your prepaid wallet balance.
- You are responsible for maintaining a sufficient prepaid wallet balance; the Service may pause order-confirmation calling if your balance is insufficient.
- Where an affiliate/referral program applies, commission is scoped only to confirmed-order usage fees, as shown in your dashboard.
Payment-card processing, where enabled, is handled by our payment processor directly (see our Privacy Policy Section 7 for the current, accurate status of which processor is live) — Oderfy does not store your card details.
8. Suspension and termination
We may suspend or terminate your access if you violate these Terms, if required by Shopify (for example, following app uninstallation), for non-payment, or for security reasons. You may disconnect your Shopify store or stop using the Service at any time. Disconnecting your store stops new order data from syncing; see our Privacy Policy for how existing data is subsequently handled.
9. Data and privacy
Our collection and processing of personal data in connection with the Service is described in our Privacy Policy, which forms part of these Terms. For Shopify order/customer data specifically, you (the merchant) are the data controller and Oderfy acts as your data processor.
10. Third-party services
The Service depends on and integrates with third-party services, including Shopify, telephony, and AI providers (see the Privacy Policy's Subprocessors section). We are not responsible for outages, changes, or failures of those third-party services that are outside our control, though we will act promptly to restore functionality where possible.
11. Availability and changes to the Service
We may modify, add to, or remove features of the Service from time to time. We will make reasonable efforts to communicate material changes that affect your use of the Service.
12. Intellectual property
Oderfy and its underlying technology, branding, and software are owned by us or our licensors. You retain ownership of your own store data. We do not claim ownership of your customers' personal data or your product catalog.
13. Disclaimers and limitation of liability
The Service is provided “as is.” To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and our aggregate liability for any claim relating to the Service is limited to the amount you paid us in the 12 months preceding the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
14. Governing law
We are in the process of finalizing our registered business entity and jurisdiction. A specific governing-law and dispute-resolution clause will be added here once that process is complete.
